    • Commercial law regulates the concept of entrepreneur, the rights, duties and responsibilities involved in and the different institutions or contracts which are used in order to develop a commercial activity.

      In this course we will focus on the concept of entrepreneur and the different ways in which an entrepreneur can act in trade as a single individual or as a company. We will study the different types of companies paying special attention to public and private limited liability companies since both are the types of companies most used in trade.

      Finally we will analyze the different methods of payment used in commercial relationships. We will focus the interest on the letter of exchange, its main functions and the way in which it circulates.

      The subject "Commercial Law" is offered during the second quarter of second year of the Degree program in Business Administration and Management

      Description of the course. Adaptation to the professional profile
      The subject "Commercial Law" is divided in 4 didactic units and 15 lessons: concept and sources of Commercial Law (lesson 1); businessman and enterprise (lesson 2); commercial companies (lessons 3 to 4) and trade securities (lesson 15).
      The knowledge gained by the students in this course will be helpful in the development of their professional activity as a way of detecting and solving legal problems which may arise in a business context.

      How it relates to other courses Prerequisites and recommendations
      The subject "Commercial Law" is included in the modul "Business Private Law" together with the subjects "Introducción al Derecho patrimonial", "Derecho del trabajo" and "Derecho privado de la empresa".
      There is no prerequisite. Nevertheless a previous legal knowledge acquired in the subject "Introducción al Derecho patrimonial" is recommended.

      Any student who has particular circumstances and may require special resources should let the professor know at the beginning of the quarter

      Results expected from the learning
      At the end of the course the student should be able to:
      1.- Locate the Commercial Law in our legal framework, knowing and understanding its concept and content
      2.- Know and understand the main legal institutions regulated by the Commercial Law which are applicable to the development of commercial activities
      3.- Recognize the commercial nature of those legal problems which may arise in the enterprise and apply the knowledge gained to reach a solution
      4.- Understand the legal terminology used in legal texts and use it properly when writing or speaking in both Spanish or English
      5.- Know how to search legal bibliography, law reports or legislation
      6.- Become more fluent in writing and speaking English
